1. Acceptance of Terms

By accessing or using Axos ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Axos is a cryptocurrency portfolio analysis and tracking platform that provides:

  • Portfolio tracking and management tools
  • AI-powered market analysis and insights
  • Market data and cryptocurrency information
  • Personalized recommendations based on your portfolio

2.1 Portfolio Types

Axos offers two types of portfolios:

  • Simulated Portfolio: A tracking tool where you manually input cryptocurrency holdings for educational and analytical purposes. No real transactions occur.
  • Real Portfolio: Connected to a blockchain wallet, enabling real cryptocurrency transactions including buying, selling, and transferring digital assets using real money.

By using Real Portfolio features, you acknowledge that you are engaging in actual financial transactions with real monetary value and associated risks.

3. Wallet Services and Third-Party Providers

Real Portfolio features are powered by third-party service providers:

  • Wallet Infrastructure: Provided by Privy Inc. Axos does not have access to your private keys. Your wallet is secured using multi-party computation (MPC) technology managed by Privy.
  • Fiat On/Off-Ramp: Cryptocurrency purchases and sales are processed by Ramp Network. Ramp Network may require identity verification (KYC) in accordance with applicable regulations.

By using these features, you agree to be bound by the terms of service and privacy policies of:

4. Blockchain Transactions

When using Real Portfolio features, you understand and agree that:

  • Blockchain transactions are irreversible once confirmed
  • Transaction fees (gas fees) are required and non-refundable
  • Transaction processing times vary based on network conditions
  • Axos is not responsible for failed, delayed, or incorrect transactions
  • You are solely responsible for verifying recipient addresses before sending

5. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

5.1 Age Requirement

You must be at least 18 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use Axos. By creating an account, you represent and warrant that you meet this requirement. We reserve the right to terminate accounts found to violate this requirement and delete associated data.

6. Subscription and Payments

Axos offers both free and paid subscription plans. For paid subscriptions:

  • Payments are processed securely through Stripe
  • Subscriptions renew automatically unless cancelled
  • You may cancel your subscription at any time through your account settings
  • Refunds are subject to our Refund Policy

6.1 Plan Details & Token Allowance

Paid plans include a recurring monthly allowance of tokens that power analyses, reports, and research. Current allocations:

  • Free: 5 tokens/month, included with any account
  • Pro: 37 tokens/month, $29.90/month
  • Max: 70 tokens/month, $49.90/month

Token packs may be purchased separately (one-time, non-refundable beyond the conditions in the Refund Policy). Tokens consumed by completed actions do not roll over.

6.2 Automatic Renewal Disclosure

IMPORTANT — AUTOMATIC RENEWAL NOTICE:

  • Paid subscriptions renew automatically at the end of each billing period (monthly), and your payment method on file will be charged the then-current price of the plan for the next period.
  • The subscription continues until you cancel it. You will not receive a renewal reminder unless required by applicable law, though Stripe may send courtesy notifications.
  • How to cancel: log into your account → Settings → Subscription → "Manage subscription" → cancel. Cancellation takes effect at the end of the current paid period; you retain access until then. There is no cancellation fee.
  • If we change the price of your plan, we will notify you in advance by email and give you the opportunity to cancel before the new price takes effect.

This disclosure is provided to comply with U.S. automatic-renewal laws, including California Business & Professions Code §17602 (California Automatic Renewal Law).

6.3 Failed Payments

If a renewal payment fails, your subscription will be marked past-due and access to paid features will be paused. We will retry the payment automatically several times over up to approximately three weeks. If all retries fail, the subscription will be cancelled and your account will revert to the Free tier. You can update your payment method at any time during this window via the Customer Portal to restore access immediately.

6.4 Plan Changes (Upgrade / Downgrade)

You can change between paid plans at any time:

  • Upgrades (e.g. Pro → Max) take effect immediately. A prorated charge for the price difference is added to the next invoice. Tokens are adjusted proportionally to the time remaining in the cycle.
  • Downgrades (e.g. Max → Pro) take effect at the end of the current billing period. You keep the higher tier's features and remaining tokens until then. No refund is issued for the unused portion of the higher tier.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service
  • Reproduce, duplicate, or resell any part of the Service
  • Use automated systems to access the Service without permission

8. Investment Disclaimer and Risks

IMPORTANT: Axos does not provide financial, investment, or trading advice.

All information provided through the Service is for informational and educational purposes only. Cryptocurrency investments are highly volatile and risky. You should:

  • Conduct your own research before making any investment decisions
  • Consult with qualified financial advisors
  • Never invest more than you can afford to lose
  • Understand that past performance does not guarantee future results

8.1 Real Portfolio Specific Risks

When using Real Portfolio features, you additionally acknowledge:

  • Cryptocurrency values can decrease to zero
  • You may lose your entire investment
  • Blockchain networks may experience congestion, forks, or failures
  • Smart contract vulnerabilities could result in loss of funds
  • Regulatory changes may affect cryptocurrency availability or value
  • Third-party service providers (Privy, Ramp Network) may experience outages or failures

8.2 AI-Generated Content

Axos uses large language models (LLMs) and AI agents to generate analyses, reports, research, and chat responses.

AI-generated content may contain inaccuracies, fabrications ("hallucinations"), outdated information, or biased interpretations. All AI outputs are provided "as-is"with no warranty of accuracy, completeness, or fitness for any particular purpose. You acknowledge and agree that:

  • AI outputs are not financial, legal, tax, or professional advice
  • You must independently verify any information before acting on it
  • Market data sourced by AI agents may be delayed, incomplete, or wrong
  • Axos disclaims liability for losses arising from reliance on AI-generated outputs
  • The same prompt may produce different outputs at different times
  • AI agents may fail to complete a task; partial or failed runs do not entitle you to refund beyond what is stated in our Refund Policy

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Axos and are protected by international copyright, trademark, and other intellectual property laws.

10. Limitation of Liability

To the maximum extent permitted by law, Axos shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits or revenue
  • Loss of data
  • Investment losses from simulated or real portfolios
  • Failed, delayed, or incorrect blockchain transactions
  • Actions or failures of third-party providers (Privy, Ramp Network)
  • Loss of access to your wallet or funds
  • Business interruption

Axos's total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

11. Non-Custodial Nature

Axos is a non-custodial service. This means:

  • We do not hold, control, or have access to your cryptocurrency assets
  • We do not have access to your private keys
  • Wallet custody is provided by Privy using MPC technology
  • We cannot reverse, cancel, or modify blockchain transactions on your behalf
  • We cannot recover lost or stolen funds

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of any significant changes when possible.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Termination

Your right to terminate. You may stop using the Service and delete your account at any time via Settings → Profile → Delete account. Deletion is permanent and removes your data subject to the retention rules in our Privacy Policy.

Our right to terminate. We may suspend or terminate your access to the Service, without notice and at our sole discretion, if we reasonably believe you have:

  • Violated these Terms or any applicable law
  • Engaged in fraud, abuse, chargebacks without prior contact, or attempts to manipulate the Service
  • Created a security or operational risk to us or other users
  • Failed to pay amounts due after the failed-payment recovery window

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination — including Investment Disclaimer, AI-Generated Content, Limitation of Liability, Indemnification, Intellectual Property, and Governing Law — will survive.

15. Indemnification

You agree to indemnify, defend, and hold harmless AxosAI, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable law
  • Your violation of the rights of any third party (including intellectual property or privacy rights)
  • Any content you submit, post, or transmit through the Service
  • Investment, trading, or transaction decisions you make based on Service outputs (including AI-generated content)

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to your indemnification, in which case you will cooperate with our defense.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The federal and state courts located in Delaware shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory consumer protection laws of your country of residence provide otherwise.

17. Miscellaneous

17.1 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or struck if no such modification is possible, and the remaining provisions will continue in full force and effect.

17.2 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AxosAI, Inc. regarding the Service and supersede any prior agreements, oral or written.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

17.5 Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, network outages, third-party service provider failures (LLM providers, blockchain networks, payment processors), government actions, or pandemics.

18. Landing Page Services (Axoss)

In addition to the cryptocurrency platform described above, we offer a separate line of service under the "Axoss" brand: custom landing page design and delivery for small businesses. The terms below apply specifically to this service and supplement (but do not replace) the sections above.

18.1 Service Description

The Axoss landing page service consists of:

  • Custom HTML landing page generated based on information you provide about your business
  • Proposed email copy delivered alongside the landing page
  • Hosting of the preview at a unique URL on axoss.pro for your review
  • Delivery of the final page upon approval and payment

18.2 Payment and Pricing

The Axoss service is a one-time payment (not a subscription). The base price is agreed in writing with each client and any applicable discount is applied at checkout via a promotional code. There is no recurring billing for the landing page itself.

18.3 Delivery and Approval

After payment, the approved landing page is made available at its preview URL. If the client requests revisions before payment, reasonable rectifications are included at no additional cost. Once the page is approved and paid, additional edits may be charged separately.

18.4 Refund Policy for Landing Pages

If the delivered landing page materially fails to match what was agreed, contact us within 7 days of delivery for a refund or revision. Past that window the service is considered accepted. See our full Refund Policy for details applicable to both Axos and Axoss services.

18.5 Intellectual Property (Landing Pages)

Once payment is completed, ownership of the delivered HTML and assets created specifically for your business transfers to you. Axoss may retain the right to display the project as a portfolio reference unless you expressly opt out.

18.6 Hosting

The preview URL on axoss.pro is provided free of charge during the preview phase. For long-term production hosting on your own domain, you are responsible for the domain and hosting provider; we deliver the source files or assist with deployment as agreed.

18.7 Data Used to Generate the Landing

To generate your landing, we collect the business name and a description of the offering you provide, plus your contact email. This data is used solely to deliver the service and is subject to our Privacy Policy.
